Agreement to these Terms

DeliveryInstructions.ai is a platform operated by Highlander Technology, Inc. ("Highlander Technology," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the DeliveryInstructions.ai website, platform, facility profiles, shared facility links, and related services (together, the "Service").

By creating an account, accepting these Terms at signup, or accessing or using the Service in any way, you agree to be bound by these Terms. If you do not agree, do not use the Service.

If you are using the Service on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to that organization.

The Service

DeliveryInstructions.ai allows a delivery destination — a distribution center, cold chain facility, or other facility — to create a structured delivery instruction profile for that location. A facility operator answers a structured set of questions about the facility and places location pins on a map. The completed profile produces a shareable link the operator can distribute to the carriers, brokers, drivers, and other parties they work with, so that those parties can complete deliveries to the facility without repeated phone calls or guesswork.

The core facility profile is provided free of charge. Highlander Technology may offer paid products and integrations in connection with the Service; those are described in the Paid products and integrations section.

We may change, add, or remove features of the Service at any time.

Accounts

To create a facility profile you must register for an account. You agree to provide accurate information at signup and to keep it current. You are responsible for all activity that occurs under your account and for keeping your login credentials secure. Notify us promptly at support@deliveryinstructions.ai if you believe your account has been accessed without authorization.

We may refuse registration, or suspend or terminate an account, at our discretion — including where we believe an account is associated with a competitor, with prohibited use under the Prohibited use section, or with any violation of these Terms.

Facility data — ownership, responsibility, and license

This section governs the information you submit to the Service about a facility — the answers, location pins, and other content that make up a facility profile ("Facility Information").

You own and are responsible for your Facility Information. As between you and Highlander Technology, you retain ownership of the Facility Information you submit. You are responsible for its accuracy, for keeping it current, and for ensuring you have the right to submit it and to authorize the uses described in these Terms. We do not verify Facility Information and are not responsible for its accuracy or completeness.

License you grant to us. By submitting Facility Information, you grant Highlander Technology a worldwide, perpetual, irrevocable, royalty-free, sublicensable license to host, store, reproduce, process, display, distribute, and otherwise use the Facility Information in order to operate, provide, improve, and develop the Service — including the right to use the Facility Information in aggregated, compiled, and derived forms as described in the How facility data is shared and used section. This license continues with respect to Facility Information that has been incorporated into the aggregated dataset or delivered to carriers or other recipients prior to any deletion of your account, as described in the Account deletion and data retention section.

What we own. Highlander Technology owns the Service itself and everything we create in operating it — including the platform software, the question schemas and Location Type structures, the compiled and aggregated database produced from Facility Information across all facilities, and all data, analyses, and materials we derive from it. Nothing in these Terms transfers any ownership of the Service or that compiled and derived database to you. Your ownership is limited to the Facility Information you submit, as described above.

How facility data is shared and used

You acknowledge and agree that the purpose of the Service is to make delivery instruction data usable by the parties involved in delivery and logistics. Accordingly, Highlander Technology may surface, deliver, and make available Facility Information — and aggregated, compiled, or derived data produced from it — to carriers, brokers, drivers, shippers, logistics providers, their respective systems and authorized agents, and automated systems acting on their behalf, in each case in connection with delivery, logistics, and related commercial activity. This includes making Facility Information available through a shared facility link, and through paid integrations and access channels as they become available.

Highlander Technology does not automatically publish or syndicate individual Facility Information to the open internet. Facility Information is made available within the delivery and logistics ecosystem as described above; it is not posted as an open public feed, directory, or index.

We may use aggregated, compiled, and derived data — data that does not identify you as an individual — for any purpose connected to operating and growing the Service, including analysis, product development, and licensed access for integration partners. We do not sell personal information. See the Privacy Policy for how personal information is handled.

Acceptable use

You agree not to use the Service to upload or submit content that is unlawful, fraudulent, infringing, or that you do not have the right to submit. You agree not to interfere with or disrupt the Service, and not to use the Service to harm Highlander Technology, other users, or any third party.

Account deletion and data retention

You may request deletion of your facility profile and account by contacting us at support@deliveryinstructions.ai.

On deletion, we will deactivate your facility profile and the associated shared facility link, so that the link no longer returns the profile. We will delete or de-identify the Facility Information held in your account within a reasonable period, subject to the following: Facility Information that has already been incorporated into the aggregated, compiled, or derived dataset, or that has already been delivered to or accessed by carriers or other recipients through the Service, cannot be recalled and will be retained. We may also retain information as required to comply with legal obligations, resolve disputes, and enforce our agreements.

We may deactivate or remove a facility profile on our own initiative — for example, where we have reason to believe the facility is no longer operating, or where required by these Terms.

Prohibited use — access controls, scraping, and the data layer

The structured delivery instruction dataset is the core asset of the Service. The following uses are prohibited. This section applies to every user and to anyone who accesses the Service or any facility data through it, including through a shared facility link.

You may not:

• Access facility data programmatically or through automated means — including scraping, headless-browser harvesting, crawlers, bots, or any API-style or systematic consumption — except through an API or integration license expressly granted in writing by Highlander Technology. Viewing a single facility profile manually through a shared link is permitted. Systematic or bulk access is not.
• Bypass, circumvent, or attempt to bypass or circumvent any rate limiting, bot detection, IP-based access control, authentication, session management, or any other technical access control or security measure used by the Service.
• Scrape, harvest, copy, or systematically extract or collect facility data from the Service.
• Reverse engineer, decompile, or attempt to derive, replicate, or reconstruct the structured delivery instruction data layer, the question schemas, the Location Type structures, or any other component of the Service that constitutes Highlander Technology's intellectual property.
• Use any data obtained from the Service to train, fine-tune, or develop any artificial intelligence or machine learning model or dataset, without an express written license from Highlander Technology. For clarity: a live, grounded retrieval performed by an AI system on behalf of a single user in connection with a specific delivery is permitted; assembling facility data into a training or development dataset is not.
• Share, transfer, or disclose account credentials, magic-link or other login URLs, session tokens, or authenticated session cookies to or with any third party.
• Aggregate, redistribute, resell, sublicense, or otherwise commercialize facility data obtained from the Service, without an express written license from Highlander Technology.

Remedies for violation. You acknowledge that the prohibited uses in this section threaten the core asset of the Service, and that any violation causes Highlander Technology substantial and irreparable harm for which monetary damages alone may be inadequate. Accordingly, in addition to any other remedy available at law or in equity, Highlander Technology is entitled to seek immediate injunctive relief to stop a violation, without the need to post a bond, and to recover all damages available at law, together with the costs and reasonable attorneys' fees of enforcement. You agree that Highlander Technology and you may by separate written agreement establish liquidated damages for violations of this section, and that the difficulty of quantifying the harm from such violations makes a reasonable liquidated damages measure appropriate.

Paid products and integrations

Highlander Technology offers, and will continue to develop, paid products and integrations in connection with the Service — including carrier and broker integrations and programmatic data access. Access to any paid product or integration is governed by a separate written agreement between Highlander Technology and the customer. Access to facility data outside the free shared-link viewing described in these Terms, and outside a separate written license or integration agreement, is not authorized and is subject to the Prohibited use section.

Intellectual property

The Service, including all software, schemas, designs, text, graphics, and the DeliveryInstructions.ai and HighlanderTek names and logos, is owned by Highlander Technology and protected by intellectual property law. These Terms do not grant you any right to use our names, logos, or branding without our prior written permission.

Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Highlander Technology does not warrant that the Service will be uninterrupted, error-free, or secure, and does not warrant the accuracy or completeness of any Facility Information or other content available through the Service. Facility Information is submitted by facility operators; you rely on it at your own risk.

Limitation of liability

To the maximum extent permitted by law, Highlander Technology will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business, arising out of or related to your use of the Service, whether based in contract, tort, or any other theory, and whether or not Highlander Technology has been advised of the possibility of such damages. To the maximum extent permitted by law, Highlander Technology's total liability for any claim arising out of or related to the Service will not exceed the greater of the total amount you paid Highlander Technology in the twelve months before the event giving rise to the claim, or one hundred dollars ($100).

Indemnification

You agree to indemnify and hold harmless Highlander Technology and its officers, employees, and agents from any claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your Facility Information, your use of the Service, or your violation of these Terms.

Termination

You may stop using the Service at any time and may request account deletion as described in the Account deletion and data retention section. We may suspend or terminate your access to the Service at any time, with or without notice, for any violation of these Terms or for any other reason at our discretion. Sections that by their nature should survive termination — including the sections on Facility data ownership and license, How facility data is shared and used, Prohibited use, Intellectual property, Disclaimers, Limitation of liability, and Indemnification — survive.

Changes to these Terms

We may update these Terms from time to time. When we do, we will update the version identifier and effective date above. If the changes are material, we may also take additional steps to notify users or to require renewed acceptance. Your continued use of the Service after updated Terms take effect constitutes acceptance of the updated Terms.

Governing law and disputes

These Terms are governed by the laws of the State of Georgia, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in the State of Georgia, and you consent to the personal jurisdiction of those courts and waive any objection to venue in those courts.

Entire agreement and severability

These Terms, together with any separate written agreement governing a paid product or integration, are the entire agreement between you and Highlander Technology regarding the Service. If any provision of these Terms is found unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full effect. Our failure to enforce any provision is not a waiver of it.
