Agreement to these Terms

DeliveryInstructions.ai is a platform operated by Highlander Technology, Inc., a Delaware corporation with its principal place of business in Atlanta, Georgia ("Highlander Technology," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the DeliveryInstructions.ai website, platform, facility profiles, shared facility links, invitations, and related services (together, the "Service").

By creating an account, accepting these Terms at signup, accepting these Terms when you accept an invitation, or accessing or using the Service in any way, you agree to be bound by these Terms. If you do not agree, do not use the Service.

The Service is intended for business use. By using the Service you represent that you are at least 18 years old and are using the Service in the course of a business, trade, or profession.

If you are using the Service on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to that organization.

Definitions

"Facility" means a delivery destination represented on the Service, including a distribution center, cold chain facility, or other location that receives or ships freight or parcels.

"Facility Information" means the answers, location pins, images, and other content submitted to the Service about a Facility, which together make up that Facility's delivery instruction profile.

"Account" means a registered account on the Service. Account types are described in the Accounts section. A single Account may hold more than one type.

"Facility Operator" means the person or organization that owns or operates a Facility and is responsible for its Facility Information.

"Partner" means a motor carrier, freight broker, or other logistics provider holding a Partner Account, and "Partner Account" has the meaning given in the Accounts section.

"Shared Facility Link" means the web address, which may include an access credential, that resolves to a Facility's delivery instruction profile.

"Invitation" means a message sent through the Service, at the direction of an Account, asking a named recipient to create or take ownership of a Facility profile.

"Viewer" means any person who accesses a Facility's delivery instruction profile, whether through a Shared Facility Link, through an Account, or through an integration.

"Aggregated Data" means data derived from Facility Information and from use of the Service that is compiled, aggregated, or de-identified so that it does not identify any individual.

The Service

DeliveryInstructions.ai allows a delivery destination to create a structured delivery instruction profile for that location. A Facility Operator answers a structured set of questions about the Facility and places location pins on a map. The completed profile produces a Shared Facility Link the operator can distribute to the carriers, brokers, drivers, and other parties they work with, so that those parties can complete deliveries to the Facility without repeated phone calls or guesswork.

The Service also allows an Account to send Invitations, to track the status of those Invitations, and — in the case of a Partner Account — to maintain a list of its own customers and to read the delivery instruction profiles of the Facilities it has invited, on the terms set out in the Carrier and broker accounts section.

The core Facility profile is provided free of charge, and a Partner Account is provided free of charge. Highlander Technology may offer paid products and integrations in connection with the Service; those are described in the Paid products and integrations section.

We may change, add, or remove features of the Service at any time.

Accounts

Account types. The Service supports the following Account types:

• A Facility Account, held by the operator of a single Facility, which creates and maintains that Facility's delivery instruction profile.
• A Company Account, held by a company that owns or operates more than one Facility, which creates and maintains profiles for those Facilities and invites the person responsible for each one.
• A Partner Account, held by a motor carrier, freight broker, or other logistics provider, which invites Facilities and reads the delivery instruction profiles of the Facilities it has invited. A Partner Account does not create or own Facility profiles.

A single Account may hold more than one of these types. A carrier that also operates its own terminals or warehouses may hold a Partner Account and a Company Account on the same registration.

Registration. You agree to provide accurate information at signup and to keep it current. You are responsible for all activity that occurs under your Account and for keeping your login credentials secure. Notify us promptly at support@deliveryinstructions.ai if you believe your Account has been accessed without authorization.

Members and roles. An Account may have more than one member, and members may hold different roles with different permissions. The Account is responsible for the acts and omissions of its members, and for ensuring that each member complies with these Terms.

Claiming an existing company. Where you register an Account that claims a company already holding Facilities on the Service, we may review that claim before granting access. We may approve or reject a claim at our discretion, and we may notify the existing Facility Operators of the claim. Until a claim is approved, the claiming Account does not receive access to those Facilities.

Refusal, suspension, and termination. We may refuse registration, or suspend or terminate an Account, at our discretion — including where we believe an Account is associated with a competitor, with prohibited use under the Prohibited use section, with misuse of Invitations, or with any violation of these Terms.

Facility data — ownership, responsibility, and license

This section governs Facility Information — the answers, location pins, and other content that make up a Facility profile.

You own and are responsible for your Facility Information. As between you and Highlander Technology, you retain ownership of the Facility Information you submit. You are responsible for its accuracy, for keeping it current, and for ensuring you have the right to submit it and to authorize the uses described in these Terms. We do not verify Facility Information and are not responsible for its accuracy or completeness.

License you grant to us. By submitting Facility Information, you grant Highlander Technology a worldwide, perpetual, irrevocable, royalty-free, sublicensable license to host, store, reproduce, process, display, distribute, and otherwise use the Facility Information in order to operate, provide, improve, and develop the Service — including the right to use the Facility Information in aggregated, compiled, and derived forms as described in the How facility data is shared and used section. This license continues with respect to Facility Information that has been incorporated into Aggregated Data or delivered to carriers or other recipients prior to any deletion of your Account, as described in the Account deletion and data retention section.

What we own. Highlander Technology owns the Service itself and everything we create in operating it — including the platform software, the question schemas and Location Type structures, the compiled and aggregated database produced from Facility Information across all Facilities, and all data, analyses, and materials we derive from it. Nothing in these Terms transfers any ownership of the Service or that compiled and derived database to you. Your ownership is limited to the Facility Information you submit, as described above.

How facility data is shared and used

You acknowledge and agree that the purpose of the Service is to make delivery instruction data usable by the parties involved in delivery and logistics. Accordingly, Highlander Technology may surface, deliver, and make available Facility Information — and Aggregated Data produced from it — to carriers, brokers, drivers, shippers, logistics providers, their respective systems and authorized agents, and automated systems acting on their behalf, in each case in connection with delivery, logistics, and related commercial activity. This includes making Facility Information available through a Shared Facility Link, and through paid integrations and access channels as they become available.

Highlander Technology does not automatically publish or syndicate individual Facility Information to the open internet. Facility Information is made available within the delivery and logistics ecosystem as described above; it is not posted as an open public feed, directory, or index.

Shared Facility Links and access credentials. A Shared Facility Link may include an access credential, and a Facility Operator may choose whether their Facility profile can be reached without one. A Shared Facility Link is provided so that the parties a Facility Operator works with can view that profile. You may not remove, alter, guess, enumerate, or otherwise circumvent an access credential in a Shared Facility Link, and you may not publish a Shared Facility Link where it is available to the general public or to parties who have no delivery or logistics relationship with that Facility.

We may use Aggregated Data for any purpose connected to operating and growing the Service, including analysis, product development, and licensed access for integration partners. We do not sell personal information. See the Privacy Policy for how personal information is handled.

Carrier and broker accounts

This section applies to every Partner Account and to every member of one. It is in addition to the rest of these Terms, which apply to a Partner Account in full.

What a Partner Account is. A Partner Account is a free account for a motor carrier, freight broker, or other logistics provider. It allows you to record your own customer list, to send Invitations to the Facilities you deliver to or book freight for, to see whether each of those Facilities has completed its profile, and to read the delivery instruction profiles of the Facilities you are linked to. A Partner Account does not create, own, or edit any Facility profile.

How access arises, and only how. A Partner becomes linked to a Facility by sending an Invitation to that Facility through the Service. There is no browsing, no searching, no directory, and no way to follow or add a Facility you have not invited. If you did not send an Invitation to a Facility, you have no link to it and no right of access to its Facility Information. More than one Partner may be linked to the same Facility. Each Partner sees only its own relationship with that Facility and is not shown which other Partners are linked to it.

When access begins. Whether a link grants access from the time the Invitation is sent, or only once the Facility completes its profile, is determined by the access setting in effect on the Service at the relevant time. We may change that setting, and a change applies to existing links as well as new ones.

What you may do with what you read. You may use Facility Information you access through a Partner Account solely to plan, arrange, and carry out your own transportation or delivery of freight or parcels to or from that Facility. That includes giving the relevant instructions for a particular movement to the driver, agent, employee, or subcontracted carrier actually performing it. Any person you give those instructions to is bound by the same restrictions, and you are responsible for their compliance.

What you may not do with it. You may not use Facility Information accessed through a Partner Account for any other purpose. Without limiting the Prohibited use section, you may not: retain, copy, or store Facility Information after your access to that Facility ends, other than records of a specific movement already performed; compile Facility Information into a database, file, or other collection outside the Service; disclose Facility Information to any person other than as permitted above; or sell, license, publish, or otherwise make Facility Information available to any third party.

The Facility can end your access. The company that owns a Facility may end a Partner's link to that Facility at any time, without notice to the Partner and without giving a reason. When it does, your access to that Facility's Facility Information ends immediately. Continuing to use Facility Information after that, or attempting to regain access to it other than through a new Invitation, is unauthorized access under the Prohibited use section.

Your customer records are yours. The information you enter or upload about your own customers — customer company name, facility address, billing address, contact name and contact details, and your own customer or vendor number — is your information. We hold it for you in order to operate your Partner Account. We do not show it to any other Partner, and we do not show your customer or vendor numbers or your billing addresses to the Facility. On closure of your Partner Account we delete or de-identify those records in accordance with the Account deletion and data retention section.

Your responsibility for the contact details you provide. You represent that you have a genuine business relationship with each customer whose details you enter or upload, that you obtained those details lawfully in the course of that relationship, and that you are entitled to provide them to us for the purposes described in these Terms and in the Privacy Policy.

We are not a party to your freight. Highlander Technology is not a motor carrier, freight broker, freight forwarder, shipper, or agent of any of them, and is not a party to any transportation contract, rate confirmation, tender, or bill of lading. Facility Information is supplied by Facility Operators and is not verified by us. We are not responsible for detention, delay, refused or rejected loads, missed appointments, demurrage, penalties, spoilage, regulatory violations, or any other loss arising from Facility Information that is inaccurate, incomplete, or out of date, or from a Facility's actual practice differing from its profile.

Invitations

An Invitation is an email sent through our systems, at your direction, identifying you as the sender and asking a named recipient to create or take ownership of a Facility profile.

Your representations. By sending an Invitation you represent that you have a genuine business relationship with the recipient and with the Facility named in it, that you obtained the recipient's name and email address lawfully in the course of that relationship, and that the address is a business address.

You are the sender. Invitations are sent on your behalf and identify you. As between you and Highlander Technology, you are the sender for the purposes of the CAN-SPAM Act and any other law governing commercial electronic messages, and you are responsible for compliance with those laws.

What Invitations are not for. You may not use Invitations to send marketing, advertising, solicitations, or any message unrelated to setting up a Facility profile. You may not send Invitations to addresses obtained from a purchased, rented, scraped, or harvested list, or to any recipient who has asked not to be contacted by you.

Limits. We may set, change, and enforce limits on how many Invitations an Account may send in a given period, and we may delay, suspend, revoke, or refuse to send Invitations at any time. We may suspend or terminate an Account that misuses Invitations, and we may do so immediately and without notice where our own sending reputation is at risk.

Acceptable use

You agree not to use the Service to upload or submit content that is unlawful, fraudulent, infringing, or that you do not have the right to submit. You agree not to interfere with or disrupt the Service, and not to use the Service to harm Highlander Technology, other users, or any third party. You agree to comply with all laws applicable to your use of the Service.

Prohibited use — access controls, scraping, and the data layer

The structured delivery instruction dataset is the core asset of the Service. The following uses are prohibited. This section applies to every user, to every Account of every type including Partner Accounts, and to anyone who accesses the Service or any Facility Information through it, including through a Shared Facility Link.

You may not:

• Access Facility Information programmatically or through automated means — including scraping, headless-browser harvesting, crawlers, bots, or any API-style or systematic consumption — except through an API or integration license expressly granted in writing by Highlander Technology. Viewing a single Facility profile manually through a Shared Facility Link is permitted. Systematic or bulk access is not.
• Bypass, circumvent, or attempt to bypass or circumvent any rate limiting, bot detection, IP-based access control, authentication, session management, access credential in a Shared Facility Link, or any other technical access control or security measure used by the Service.
• Guess, enumerate, or otherwise construct a Shared Facility Link, an access credential, an Invitation link, or a Facility identifier that was not given to you.
• Scrape, harvest, copy, or systematically extract or collect Facility Information from the Service.
• Reverse engineer, decompile, or attempt to derive, replicate, or reconstruct the structured delivery instruction data layer, the question schemas, the Location Type structures, or any other component of the Service that constitutes Highlander Technology's intellectual property.
• Use any data obtained from the Service to train, fine-tune, or develop any artificial intelligence or machine learning model or dataset, without an express written license from Highlander Technology. For clarity: a live, grounded retrieval performed by an AI system on behalf of a single user in connection with a specific delivery is permitted; assembling Facility Information into a training or development dataset is not.
• Share, transfer, or disclose account credentials, magic-link or other login URLs, Invitation links, session tokens, or authenticated session cookies to or with any third party.
• Continue to access, or attempt to access, Facility Information for a Facility after your link to it has ended.
• Aggregate, redistribute, resell, sublicense, or otherwise commercialize Facility Information obtained from the Service, without an express written license from Highlander Technology.

Remedies for violation. You acknowledge that the prohibited uses in this section threaten the core asset of the Service, and that any violation causes Highlander Technology substantial and irreparable harm for which monetary damages alone may be inadequate. Accordingly, in addition to any other remedy available at law or in equity, Highlander Technology is entitled to seek immediate injunctive relief to stop a violation, without the need to post a bond, and to recover all damages available at law, together with the costs and reasonable attorneys' fees of enforcement. You agree that Highlander Technology and you may by separate written agreement establish liquidated damages for violations of this section, and that the difficulty of quantifying the harm from such violations makes a reasonable liquidated damages measure appropriate.

Paid products and integrations

Highlander Technology offers, and will continue to develop, paid products and integrations in connection with the Service — including carrier and broker integrations and programmatic data access. Access to any paid product or integration is governed by a separate written agreement between Highlander Technology and the customer. Access to Facility Information outside the free Shared Facility Link viewing and the free Partner Account access described in these Terms, and outside a separate written license or integration agreement, is not authorized and is subject to the Prohibited use section.

Account deletion and data retention

You may request deletion of your Facility profile and Account by contacting us at support@deliveryinstructions.ai.

On deletion of a Facility Account or Company Account, we will deactivate the Facility profile and the associated Shared Facility Link, so that the link no longer returns the profile. We will delete or de-identify the Facility Information held in the Account within a reasonable period, subject to the following: Facility Information that has already been incorporated into Aggregated Data, or that has already been delivered to or accessed by carriers or other recipients through the Service, cannot be recalled and will be retained.

On deletion of a Partner Account, we will end that Partner's links to Facilities and delete or de-identify the customer records held in the Account within a reasonable period, subject to our retention of records of Invitations sent and of Facility links created, which we retain as a record of how a Facility came to be on the Service.

We may also retain information as required to comply with legal obligations, resolve disputes, and enforce our agreements.

We may deactivate or remove a Facility profile on our own initiative — for example, where we have reason to believe the Facility is no longer operating, or where required by these Terms.

Intellectual property

The Service, including all software, schemas, designs, text, graphics, and the DeliveryInstructions.ai and HighlanderTek names and logos, is owned by Highlander Technology and protected by intellectual property law. These Terms do not grant you any right to use our names, logos, or branding without our prior written permission.

Feedback

If you send us suggestions, ideas, or other feedback about the Service, whether through a feedback form in the Service or otherwise, you grant Highlander Technology a worldwide, perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation or compensation to you. You are not required to send us feedback.

Third-party services

The Service displays maps, satellite imagery, and other content supplied by third parties, and may link to third-party systems such as dock scheduling platforms. Those services are governed by their own terms and privacy policies. We are not responsible for third-party services or for content supplied by them, and a link to a third-party service is not an endorsement of it.

Electronic communications

You agree that we may provide notices, disclosures, and other communications to you electronically, by email to the address on your Account or by posting them in the Service, and that electronic communications satisfy any legal requirement that a communication be in writing. Communications necessary to operate your Account — including verification codes, Invitation notices, security notices, and changes to these Terms — are part of the Service and cannot be opted out of while you hold an Account.

Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Highlander Technology does not warrant that the Service will be uninterrupted, error-free, or secure, and does not warrant the accuracy or completeness of any Facility Information or other content available through the Service. Facility Information is submitted by Facility Operators; you rely on it at your own risk.

Highlander Technology does not guarantee that any Invitation will be delivered, opened, or accepted, or that any Facility will complete a profile.

Limitation of liability

To the maximum extent permitted by law, Highlander Technology will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business, arising out of or related to your use of the Service, whether based in contract, tort, or any other theory, and whether or not Highlander Technology has been advised of the possibility of such damages. To the maximum extent permitted by law, Highlander Technology's total liability for any claim arising out of or related to the Service will not exceed the greater of the total amount you paid Highlander Technology in the twelve months before the event giving rise to the claim, or one hundred dollars ($100).

Indemnification

You agree to indemnify and hold harmless Highlander Technology and its officers, employees, and agents from any claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your Facility Information, the customer records and contact details you provide to the Service, the Invitations you send, your use of the Service, or your violation of these Terms.

Termination

You may stop using the Service at any time and may request Account deletion as described in the Account deletion and data retention section. We may suspend or terminate your access to the Service at any time, with or without notice, for any violation of these Terms or for any other reason at our discretion.

Sections that by their nature should survive termination — including Definitions, Facility data ownership and license, How facility data is shared and used, the restrictions in Carrier and broker accounts, Prohibited use, Account deletion and data retention, Intellectual property, Feedback, Disclaimers, Limitation of liability, Indemnification, Notices, Governing law and disputes, and General — survive.

Notices

Notices to Highlander Technology under these Terms must be sent to support@deliveryinstructions.ai and are effective on the day they are sent, or the next business day if sent outside business hours. Notices to you are effective when sent to the email address on your Account or posted in the Service. It is your responsibility to keep that address current.

Changes to these Terms

We may update these Terms from time to time. When we do, we will update the version identifier and effective date shown at the top of these Terms. If the changes are material, we may also take additional steps to notify users or to require renewed acceptance. Your continued use of the Service after updated Terms take effect constitutes acceptance of the updated Terms.

Governing law and disputes

These Terms are governed by the laws of the State of Georgia, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in the State of Georgia, and you consent to the personal jurisdiction of those courts and waive any objection to venue in those courts.

Each party waives any right to a trial by jury in any proceeding arising out of or relating to these Terms or the Service.

General

Entire agreement. These Terms, together with the Privacy Policy and any separate written agreement governing a paid product or integration, are the entire agreement between you and Highlander Technology regarding the Service, and supersede any prior understanding on that subject.

Severability. If any provision of these Terms is found unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full effect.

No waiver. Our failure to enforce any provision is not a waiver of it, and no waiver is effective unless in writing.

Assignment. You may not assign or transfer these Terms or your Account without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, or sale of assets. These Terms bind and benefit the parties and their permitted successors.

Relationship of the parties. Nothing in these Terms creates a partnership, joint venture, agency, employment, or fiduciary relationship between you and Highlander Technology.

Force majeure. Neither party is liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including acts of God, natural disaster, war, terrorism, labor dispute, government action, utility or telecommunications failure, or failure of a third-party service provider.

Headings. Headings are for convenience only and do not affect interpretation.
